1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and One Tap Only, a division of Digi Marketer Inc ("Company," "we," "us," or "our"), governing your use of our website at your-onlinebusiness.com (the "Site") and our website design and SEO services (the "Services").
By accessing the Site or purchasing our Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase our Services.
2. Services Overview
One Tap Only provides the following services:
- Website Design: Custom, hand-coded HTML/CSS websites for local businesses
- On-Page SEO: Complete on-page search engine optimization (47-point checklist)
- Speed Optimization: Google PageSpeed performance improvements
- Website Build: Custom hand-coded HTML website design, 47-point on-page SEO, mobile responsive design, and speed optimization
The specific deliverables for each project will be confirmed during your consultation and outlined in your service agreement.
3. Pricing & Payment
3.1 Service Pricing
All prices displayed on our Site are in US Dollars (USD). Current pricing is displayed on our Pricing page. We reserve the right to change pricing at any time, but changes will not affect orders already confirmed.
3.2 Payment Terms
- Full payment is required before work begins unless otherwise agreed in writing
- We accept payment via methods specified during the checkout or consultation process
- All fees are non-refundable except as outlined in Section 4
3.3 Additional Costs
Our service pricing includes the deliverables specified during consultation. The following may incur additional costs if requested:
- Premium domain names (beyond standard .com registration)
- Premium hosting upgrades
- Additional pages beyond the agreed scope
- Ongoing maintenance or content updates after delivery
- Third-party software or tool subscriptions
4. Refund Policy
4.1 Before Work Begins
If you cancel your order before any work has commenced, you are entitled to a full refund.
4.2 Work in Progress
If you cancel after work has begun but before delivery, a partial refund may be issued at our discretion based on the amount of work completed. Any refund will be calculated on a pro-rata basis.
4.3 After Delivery
Once the completed website has been delivered and the final files have been shared or uploaded to your hosting, no refund will be issued. We offer a 14-day revision period after delivery during which you may request reasonable changes at no additional cost.
4.4 Satisfaction Guarantee
We are committed to your satisfaction. If you are unhappy with the final product, contact us within 14 days of delivery and we will work with you to resolve any issues.
5. Client Responsibilities
To ensure smooth project delivery, you agree to:
- Provide accurate business information, content, images, and logos in a timely manner
- Provide hosting and domain access credentials when requested
- Respond to communications and approve deliverables within a reasonable timeframe (5 business days)
- Ensure that all content you provide does not infringe on third-party intellectual property rights
- Maintain the confidentiality of any login credentials we create or share with you
Delays caused by failure to provide required materials or timely feedback may extend the project timeline.
6. Intellectual Property
6.1 Ownership
Upon full payment, you will own the custom website files (HTML, CSS, and content) created specifically for your project. This does not include:
- Our proprietary tools, templates, and processes
- Stock images (governed by their respective licenses)
- Third-party scripts, libraries, or fonts (governed by their respective licenses)
6.2 Portfolio Rights
We reserve the right to display your completed website in our portfolio, case studies, and marketing materials unless you request otherwise in writing.
6.3 Our Brand
You may not use the One Tap Only or Digi Marketer Inc name, logo, or branding in any way that implies endorsement without our written permission.
7. Project Timeline
- Estimated delivery timelines are provided during consultation and are not guaranteed deadlines
- We aim to deliver within the estimated timeframe but delays may occur due to factors beyond our control
- If we anticipate a significant delay, we will notify you promptly
- Projects not responded to for 30+ days may be considered abandoned
8. Website Hosting & Maintenance
8.1 Hosting
If we set up hosting as part of your package, you are responsible for ongoing hosting renewal fees after the initial term. We will provide you with full hosting account access.
8.2 Maintenance
Our service includes the initial build and delivery. Ongoing website maintenance, content updates, security patches, and hosting management are your responsibility after delivery unless a separate maintenance agreement is in place.
8.3 Backups
We recommend maintaining your own backups. While we take reasonable care during the build process, we are not responsible for data loss after project delivery.
9. SEO Disclaimer
Our on-page SEO services follow industry best practices and Google's guidelines. However:
- We do not guarantee specific search engine rankings, traffic levels, or revenue increases
- Search engine algorithms are controlled by third parties (Google, Bing, etc.) and can change at any time
- SEO results depend on many factors including competition, content quality, backlinks, and domain authority
- Our SEO work covers on-page optimization only, unless a separate off-page SEO agreement is in place
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from the Services shall not exceed the total amount you paid for those Services
- We shall not be liable for any indirect, incidental, consequential, or punitive damages
- We are not liable for loss of business, revenue, data, or profits arising from the use or inability to use our Services
- We are not responsible for any issues caused by third-party services (hosting providers, domain registrars, APIs)
11. Indemnification
You agree to indemnify and hold harmless One Tap Only, Digi Marketer Inc, and its owners, employees, and contractors from any claims, damages, or expenses (including legal fees) arising from:
- Your use of the Services or the Site
- Content you provide that infringes on third-party rights
- Your violation of these Terms
- Your violation of any applicable law or regulation
12. Use of the Website
When using our Site, you agree not to:
- Use the Site for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Site or its systems
- Use automated tools (bots, scrapers) to access the Site without permission
- Transmit malware, viruses, or any harmful code
- Abuse our free PageSpeed test tool (rate limits apply)
- Impersonate any person or entity
13. Termination
We reserve the right to:
- Refuse service to anyone for any reason
- Terminate a project if the Client becomes unresponsive for 30+ days
- Suspend access to our Site or admin tools if we suspect misuse
Termination of services does not waive any amounts owed by either party.
14. Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, pandemics, internet outages, hosting provider failures, or government actions.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Canada. Any disputes arising from these Terms or the Services shall be resolved through good-faith negotiation first, and if unresolved, through the courts of competent jurisdiction in Canada.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any service-specific agreement, constitute the entire agreement between you and One Tap Only regarding the use of the Site and the Services.
18. Changes to These Terms
We may update these Terms from time to time. The updated version will be indicated by the "Effective Date" at the top of this page. Continued use of the Site or Services after changes constitutes acceptance of the updated Terms.
